1. The agreement
These Terms of Service ("Terms") are an agreement between you and [To confirm: company legal name] ("sysco.one", "we", "us") for the use of www.sysco.one and the sysco.one app (the "Service"). By creating a workspace, accepting an invitation or using the Service you agree to these Terms and to our Privacy Policy.
If you create a workspace for a company or other organization, you agree to these Terms on its behalf and confirm you are authorized to do so; "you" then means that organization. You must be at least 18 years old (or the age of majority where you live) to use the Service.
2. Accounts and workspaces
- Keep your sign-in details confidential and tell us promptly at support@sysco.one if you think your account has been used without permission.
- Workspace admins control who can join the workspace, what each member can see and do, and which integrations are connected. You are responsible for what happens in your workspace.
- Give us accurate account and billing information and keep it up to date.
3. Subscriptions and payment
Paid plans are billed per member ("seat") per month, in advance, through Stripe, at the price shown on the pricing page or at sign-up. Taxes are added where they apply. Subscriptions renew each month until cancelled.
If a payment fails we may limit the workspace until it is paid. We may change prices with at least 30 days' notice to workspace admins; the new price applies from your next billing period after the notice. Except where the law requires otherwise, fees already paid are not refunded. [To confirm: confirm refund, cancellation and proration rules]
4. Your content
You keep all rights in the content you and your team put into the Service, including client records, files, posts, images and videos ("Your Content"). You give us permission to host, copy, process, transmit and display Your Content only as needed to run the Service for you, including sending it to the networks and services you tell us to (for example publishing a post).
You are responsible for Your Content and confirm you have the rights and consents it needs, including permission from the people whose personal information you store, email, text or call, and the rights to any images, music or video you publish.
5. Connected accounts and third-party services
The Service can connect to third-party services you choose, such as Facebook, Instagram, LinkedIn, TikTok, YouTube, Google Business Profile, Google, Microsoft, Stripe, Twilio and others. When you connect one:
Scheduled posts are sent at the time you choose, but a network may delay, alter or refuse a post. Check important posts after they go out.
6. Acceptable use
You agree not to use the Service to:
- break any law, including anti-spam laws such as Canada's Anti-Spam Legislation (CASL) and the U.S. CAN-SPAM and TCPA rules, and laws on recording calls;
- send email, SMS or calls to people who haven't agreed to receive them where consent is required, or ignore unsubscribe requests;
- publish content that is unlawful, infringing, deceptive, hateful, harassing or that breaks a network's rules;
- collect personal information about people without a lawful basis, or scrape networks;
- upload malware, probe or break our security, or get around usage limits;
- overload the Service, or access it by automated means except through our documented API; or
- resell the Service or let people outside your organization use your workspace, except your clients through the client portal.
We may remove content or suspend accounts that break these rules, and we will tell you why unless the law or safety prevents it.
7. AI features
AI features (such as caption suggestions or voice-overs) run on your workspace's own provider account and key. AI output can be wrong or unsuitable; review it before you publish or send it. You are responsible for content you choose to use, and for following your AI provider's terms.
8. Our service and intellectual property
We own the Service, its software, design and brand. We give you a limited, non-exclusive, non-transferable right to use it for your internal business during your subscription. Don't copy, modify or reverse engineer it except as the law allows. If you send us feedback we may use it without obligation to you.
9. Availability and changes
We work to keep the Service available and secure but don't promise it will be uninterrupted or error-free. We may improve, change or remove features; if we remove a significant feature you pay for, we will give reasonable notice. You are responsible for keeping your own copies of content you can't afford to lose; you can export your data from the app.
10. Cancellation and termination
You can cancel your subscription at any time; it ends at the end of the current billing period. We may suspend or end your access if you seriously or repeatedly break these Terms, don't pay, or if the law requires it. After the workspace closes, you can ask us for an export for [To confirm: export window, e.g. 30 days]; after that we delete its data as described in the Privacy Policy.
11. Disclaimers and limitation of liability
To the extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, and our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose. Nothing in these Terms limits liability that can't be limited by law.
12. Indemnity
You will defend and indemnify us against claims by third parties arising from Your Content, from your use of connected services, or from your breach of these Terms or the law.
13. Governing law
These Terms are governed by the laws of [To confirm: governing law, e.g. the Province of Alberta and the federal laws of Canada applicable there], and the courts there have exclusive jurisdiction, except where consumer protection law gives you the right to bring a claim where you live.
14. Changes to these Terms
We may update these Terms. We will change the effective date above and, for significant changes, tell workspace admins at least 30 days before they take effect. If you keep using the Service after that, the new Terms apply.
